DOC Beta Terms of Use

These Beta Terms of Use ("Terms") are a binding agreement between you and Doctor Office Communicator, Inc., a Delaware corporation ("DOC," "we," "us," or "our"). They govern your access to and use of the beta version of the DOC iPhone, Apple Watch, notification, Live Activity, and related services (the "Service").

By accessing or using the Service, you agree to these Terms. If you use the Service for a healthcare office or other organization, you represent that you are authorized to do so and that your use complies with that organization's policies. If you do not agree, do not use the Service.

1. Beta Service

The Service is pre-release software provided for limited testing and evaluation. Features may be incomplete, change without notice, operate incorrectly, or become unavailable. We may limit, suspend, reset, or discontinue beta access at any time.

Your feedback may be used to evaluate and improve the Service. Do not include PHI, patient identifiers, or confidential patient information in feedback, screenshots, crash descriptions, or support messages.

2. Eligibility and Office Authorization

You must be legally able to enter into these Terms and be authorized by a participating office. Sign in with Apple establishes identity but does not grant office access. Operational access requires an active, enabled membership in a currently selected office.

Office administrators control invitations, approvals, roles, enabled status, and access to their office workspace. You may not use another person's credentials, share enrollment credentials, evade membership controls, or access an office without authorization.

3. Synthetic and Non-PHI Data Only

The beta Service is limited to synthetic, fictional, or otherwise non-PHI information. You must not enter, upload, record, transmit, or otherwise process through the Service PHI or information regulated under HIPAA; patient names or identifiers; real clinical facts that could reasonably identify a patient; or information your office is not authorized to disclose.

Use fictitious names and scenarios when testing alerts, text, voice, transcripts, office setup, and workflow features. DOC does not represent that the beta Service is approved for PHI, that it satisfies your office's regulatory obligations, or that a Business Associate Agreement is in effect. Your office is responsible for training testers and enforcing this restriction.

4. Not for Emergencies or Clinical Decision-Making

DOC is a communication aid. It is not an emergency service, medical device, patient-monitoring system, diagnostic tool, or source of treatment recommendations. Do not rely on the Service as the only way to communicate an emergency, time-critical instruction, or information necessary to protect a patient.

Notification delivery is not guaranteed. Delivery can be affected by duty status, membership state, device settings, network availability, Focus, Silent Mode, Apple services, permissions, battery state, and other factors outside DOC's control. Critical is a DOC workflow classification and does not mean an Apple Critical Alert or guarantee that a notification bypasses device controls.

Maintain and use an independent, established emergency and escalation process.

5. Acceptable Use

You may use the Service only for authorized beta testing and lawful office communication consistent with these Terms. You must not attempt to access another office's data or another user's account; disclose or misuse office enrollment credentials; circumvent security or authorization controls; upload malicious code; harass or threaten others; use the Service for unauthorized resale; or represent that the beta is approved for PHI or production clinical use.

6. Device Permissions and Third-Party Services

Some features require Apple services and device permissions, including notifications, microphone, camera or photos, location, Apple Watch connectivity, and Live Activities. The Service also relies on third-party infrastructure and processing providers identified in the DOC Privacy Policy. Your use of third-party platforms may be subject to their terms.

AI-generated transcripts or workflow proposals may be inaccurate, incomplete, or delayed. Review them before relying on them, and do not submit PHI during beta.

7. Confidentiality and Feedback

Nonpublic beta features, documentation, and test information may be confidential. You may share them only with people authorized by DOC or your participating office, unless DOC makes the information public.

If you provide ideas, suggestions, or feedback, you grant DOC a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not grant DOC ownership of your personal information or office content.

8. Accounts, Suspension, and Deletion

You are responsible for activity under your account and for safeguarding your device and credentials. Notify your office administrator and hello@doc.healthcare promptly if you suspect unauthorized access.

You may request account deletion through the in-app process that will be available before external TestFlight distribution or by contacting privacy@doc.healthcare. Deletion may require identity verification and may not remove shared-office records, de-identified records, security records, or information that DOC or the office must retain by law. Deleting one account does not delete a shared office.

DOC may suspend or terminate access to protect users, offices, the Service, or third parties; enforce these Terms; respond to an office administrator; or comply with law.

9. Ownership and License

DOC and its licensors own the Service, including its software, design, documentation, trademarks, and other intellectual property. Subject to these Terms, DOC grants you a limited, revocable, nonexclusive, nontransferable license to use the beta Service solely for authorized evaluation and testing.

Participating offices and users retain their rights in content they submit. They grant DOC the rights reasonably necessary to host, process, transmit, secure, and operate that content to provide the Service.

10. No Fees During This Beta

DOC does not charge a fee for the current beta unless separate written terms state otherwise. Future versions or services may require payment, but DOC will provide applicable terms before charging.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BETA SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. DOC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

DOC DOES NOT WARRANT THAT ALERTS, MESSAGES, NOTIFICATIONS, TRANSCRIPTS, LIVE ACTIVITIES, OR WATCH FEATURES WILL BE DELIVERED, ACCURATE, TIMELY, UNINTERRUPTED, OR ERROR-FREE.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOC'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE BETA SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

These limitations do not apply where prohibited by law.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless DOC and its directors, officers, employees, contractors, and affiliates from claims, damages, losses, and expenses, including reasonable attorneys' fees, arising from your misuse of the Service, violation of these Terms, unauthorized submission of PHI, or violation of another person's rights. This obligation does not apply to the extent a claim results from DOC's own unlawful conduct.

14. Changes

We may update these Terms as the beta evolves. We will post the revised Terms with a new "Last updated" date and provide additional notice when required.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Except where applicable law requires otherwise, any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to their jurisdiction and venue.

16. General

These Terms and the DOC Privacy Policy are the entire agreement between you and DOC concerning the beta Service unless a separate written agreement applies. If a provision is unenforceable, the remaining provisions remain in effect. DOC's failure to enforce a provision is not a waiver. You may not assign these Terms without DOC's written consent. DOC may assign them as part of a merger, financing, reorganization, or sale of assets.
